1. ACCEPTANCE OF TERMS
By accessing and using the website https://hsoglobal.xyz (the “Site”) and any of the services, products, software, APIs, and content offered by HSO Global LLC, Huron Smith Oil CO INC, and HSO Petroleum Services LLC (collectively “HSO Global”, “we”, “us”, or “the Company”), you (“User”, “Customer”) expressly and irrevocably agree to these General Terms and Conditions, as well as all policies, regulations, and annexes referenced herein. If you do not agree with any of these terms, please do not use the Site or the services.
2. COLLECTIVE IDENTITY
All references to HSO Global in this document jointly and severally include the following entities incorporated and operating under the laws of the states of Florida and Mississippi, United States: HSO Global LLC, Huron Smith Oil CO INC, and HSO Petroleum Services LLC. Any right, obligation, limitation, or liability applies equally to all group entities.
3. DEFINITIONS
- Services: includes, but is not limited to, access to the Site, acquisition of software licenses, API usage, technical consulting, digital petroleum services, and any other product or service offered by HSO Global.
- Software: any program, application, module, library, or object and source code, including updates, delivered under license to the User.
- API: set of protocols and tools for system integration, including endpoints, documentation, access tokens, and usage limits.
- Data: all information, including personal data, metadata, logs, and content uploaded or generated through the Services.
- Applicable Law: legislation in force in the states of Florida and Mississippi, as well as relevant federal laws of the United States of America, expressly including oil and gas regulations, California data protection laws, and international privacy standards where applicable.
4. USE OF THE SITE AND SERVICES
The User agrees to use the Site and Services solely for lawful purposes and in accordance with these Terms, applicable laws, and good customs. The following is strictly prohibited:
- Activities that infringe intellectual or industrial property rights.
- Introducing malicious code, viruses, trojans, logic bombs, or any technologically harmful material.
- Attempting unauthorized access to servers, databases, or systems associated with the Site.
- Using the Services for phishing, identity theft, or sending unsolicited communications.
- Reverse engineering, decompiling, or disassembling the Software or APIs, except as expressly permitted by mandatory law.
5. REGISTRATION AND USER ACCOUNT
To access certain functionalities (customer area, API management, software downloads), the User must create an account providing truthful, complete, and current information.
The User is responsible for maintaining the confidentiality of their credentials and for all activities that occur under their account. HSO Global reserves the right to suspend or cancel accounts that violate these terms or, at its sole discretion, pose a security risk.
6. PRODUCTS AND SERVICES; TERMS OF SALE
This section governs the acquisition of Software licenses, API access, and any tangible or intangible product marketed through the Site.
Prices, Payments, and Taxes: all prices are in U.S. dollars (USD) unless otherwise stated. HSO Global reserves the right to modify prices at any time without affecting confirmed orders. The Customer agrees to pay the full price plus applicable taxes (e.g., Florida or Mississippi sales tax). Payments are processed through secure gateways, and HSO Global does not store full credit card data.
Delivery: upon payment confirmation, digital products (Software, license keys, documentation) will be delivered via direct download or the user dashboard immediately or within 24 hours. Consulting or customization services will follow the agreed schedule.
Right of Withdrawal (Cancellation): given the immediate access nature of digital products, the User acknowledges that once downloading or access begins, the right of withdrawal is lost, unless Florida or Mississippi law mandatorily provides otherwise. For subscriptions, the Customer may cancel auto-renewal at any time, with charges ceasing from the next period, but without a refund for the current period except as provided in the Refund Policy.
7. SOFTWARE LICENSE
HSO Global grants the User a non-exclusive, non-transferable, revocable, limited license to install and use the Software solely in accordance with technical documentation and the User's legitimate business purposes. The license is subject to payment of applicable fees and strict compliance with these Terms. The User does not acquire ownership of the Software, only the right of use under the conditions herein. The following is expressly prohibited:
- Assignment, sublicense, rental, or distribution of the Software to third parties.
- Unauthorized modification, adaptation, or creation of derivative works.
- Removal of copyright notices, trademarks, or other proprietary rights.
8. API USAGE
HSO Global's APIs are provided to facilitate interoperability with the Customer's systems. Use of the APIs is subject to:
- Adherence to technical documentation and published rate limits.
- Confidential handling of security credentials (API keys, OAuth tokens).
- Prohibition of mass data extraction or storage (scraping) without express authorization.
- Compliance with all applicable data protection laws when personal information is transmitted through the APIs.
HSO Global may monitor API usage and suspend access in case of abuse or suspicious activity without prior notice and without incurring any liability.
9. DATA HANDLING AND PRIVACY REGULATORY COMPLIANCE
Personal data processing by HSO Global is governed by applicable privacy regulations and our Privacy Policy (available on the Site). In particular:
- We comply with the Florida Digital Bill of Rights (SB 262) when processing personal data of Florida consumers exceeding legal thresholds, guaranteeing rights of access, correction, deletion, portability, and limitation of sensitive data processing.
- We observe the Mississippi security breach notification law (Miss. Code Ann. § 75-24-29) and the Florida Information Protection Act (Fla. Stat. § 501.171).
- Regarding California residents, we comply with the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), recognizing their rights to know, access, delete, correct, limit use of sensitive data, and non-discrimination.
- We also adhere to internationally recognized standards such as the General Data Protection Regulation (GDPR) of the European Union to the extent we process data of EU citizens or interact with business partners subject to that regulation.
The User who uses our APIs or Software must, in turn, comply with all privacy laws regarding data they themselves input into our systems.
10. OIL & GAS REGULATORY COMPLIANCE
HSO Global, as a provider of digital services and solutions for the petroleum industry, acknowledges and submits to the federal and state regulations governing the oil and gas sector in the United States. This includes, without limitation:
- The Federal Oil and Gas Royalty Management Act, regulations from the Bureau of Land Management (BLM) and the Bureau of Ocean Energy Management (BOEM) regarding resource exploitation, production, and commercialization.
- The rules of the Florida Department of Environmental Protection and the Mississippi State Oil and Gas Board applicable to operations within those states.
- Legislation concerning environmental protection, industrial safety, and spill prevention, including Environmental Protection Agency (EPA) standards.
The Customer is solely responsible for complying with the specific regulations of their extractive activity. HSO Global solely provides digital tools and does not offer regulatory advice on oil and gas matters.
11. INTELLECTUAL PROPERTY
All intellectual and industrial property rights over the Site, Software, APIs, logos, trade names, texts, graphics, and other elements (content) are the exclusive property of HSO Global or its licensors, protected by United States intellectual property laws and international treaties. No provision of these Terms transfers any ownership right to the User.
12. THIRD-PARTY LINKS
The Site may contain links to third-party websites. HSO Global does not control such sites and assumes no responsibility for their content or policies. Inclusion of a link does not imply approval or recommendation.
13. LIMITATION OF LIABILITY
To the fullest extent permitted by Florida and Mississippi law, HSO Global shall not be liable for indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, business interruption, or loss of data, arising from the use or inability to use the Services, even if advised of the possibility. Total liability for any claim shall not exceed the amount paid by the User in the six (6) months preceding the event giving rise to the claim.
14. INDEMNIFICATION
The User agrees to defend, indemnify, and hold harmless HSO Global, its officers, employees, and agents from any claim, demand, damage, or cost (including reasonable attorneys' fees) arising from breach of these Terms, misuse of the Services, or infringement of third-party rights.
15. APPLICABLE LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles, and with supplementary application of Mississippi law for matters affecting entities registered there. Any dispute shall fall under the exclusive jurisdiction of the state or federal courts located in Miami-Dade County, Florida, or, for claims solely involving Mississippi entities, in Hinds County, Mississippi, the Parties waiving any other jurisdiction.
16. DISPUTE RESOLUTION AND ARBITRATION
Notwithstanding the foregoing, HSO Global may, at its sole discretion, elect to resolve any dispute through binding arbitration administered by the American Arbitration Association under its Commercial Rules. The seat of arbitration shall be Miami, Florida, and the award may be enforced in any competent court.
17. MODIFICATIONS
HSO Global reserves the right to modify these Terms at any time. Modifications become effective upon posting on the Site. Continued use of the Services after posting constitutes acceptance of the new terms. It is the User's responsibility to periodically review the legal content.
18. REGULATIONS
HSO Global operates in strict compliance with United States federal law and, in particular, the state regulations of Florida and Mississippi detailed below, with special attention to the software industry, API management, and data handling.
Data Protection and Privacy
- Florida Digital Bill of Rights (SB 262): when HSO Global acts as a controller of personal data of Florida consumers and exceeds the thresholds (gross revenues > $1B and derives more than 50% of revenue from data sales, or processes data of more than 100,000 consumers per year, etc.), it recognizes and facilitates the following rights: access, deletion, correction, portability, limitation of processing of sensitive data, and non-discrimination. Even if the thresholds are not met, we voluntarily adopt the transparency and control principles that inspire this law.
- Mississippi Consumer Privacy: although Mississippi does not have a comprehensive privacy law, we comply with the Mississippi Security Breach Notification Law (Miss. Code Ann. § 75-24-29), which requires notifying Mississippi residents of any security breach that compromises their unencrypted personal information, within the established terms and deadlines.
- Florida Information Protection Act (FIPA – Fla. Stat. § 501.171): we notify affected parties and the competent authority (Florida Department of Legal Affairs) in the event of a data breach involving personal information of Florida residents, following legal deadlines and requirements.
- CAN-SPAM Act: all our commercial electronic communications include a clear sender identification, a valid physical address, and a simple unsubscribe mechanism. We process unsubscriptions within a maximum of 10 business days.
- COPPA (Children's Online Privacy Protection Act): our Services are not directed at children under 13 years of age and we do not knowingly collect data from children. If we become aware that we have received data from a minor without verifiable parental consent, we will delete it immediately.
Regulations on Software and APIs
- Digital Millennium Copyright Act (DMCA): we respect the intellectual property rights of third parties and have a procedure for notification and takedown of infringing content. The designated agent to receive DMCA notifications can be contacted at legal@huronsmithoil.com.
- Patent and Trademark Laws (U.S. Code Title 35 and Lanham Act): all deployed Software and technology is protected by patent and trademark laws, and the User agrees not to infringe such rights.
- Computer Fraud and Abuse Act (CFAA): any unauthorized access to our systems, APIs, or databases will constitute a violation of this federal law, in addition to a breach of contract, and will be pursued with all available legal remedies.
Industry Compliance
Given that HSO Global provides services linked to the energy/oil sector, we additionally observe the federal and state regulations governing the provision of services to said sector, in particular the provisions of the Florida Department of Environmental Protection and the Mississippi Oil and Gas Board with respect to the digital services offered to oil and gas operators, without this constituting legal advice on extractive matters; the Customer is solely responsible for complying with the specific regulations of their industry.
Regulatory Update
HSO Global undertakes to review and update this section when new laws are enacted or existing ones are substantially modified that affect business operations. The effective date of this version appears at the heading of this document.
